Terms and Conditions for Marketing Ai LLC

1. **Introduction**
* These Terms and Conditions (“Terms”) govern your use of the services (“Services”) provided by Marketing Ai LLC (“the Company”, “we”, “us”, “our”). By accessing and using our Services, you agree to comply with and be bound by these Terms.

2. **Services**
* We offer various marketing services as described on our website or as agreed upon in written agreements with clients.
* We reserve the right to modify, enhance, or discontinue any of our services at our sole discretion.

3. **Payments**
* Services rendered by Marketing Ai LLC are subject to fees as described in service agreements or on our website.
* All payments are due upon receipt of the invoice unless otherwise specified.
* Late payments may be subject to additional fees.

4. **Termination**
* Either party may terminate a service agreement upon written notice if the other party breaches any of these Terms and does not remedy the breach within a specified period.

5. **Intellectual Property**
* All materials, strategies, and intellectual property developed by Marketing Ai LLC remain the property of Marketing Ai LLC unless otherwise specified in a written agreement.

6. **Confidentiality**
* Both parties agree to keep all business, technical, and financial information obtained from the other party confidential and to not disclose such information to any third party without written consent.

7. **Limitation of Liability**
* To the fullest extent permitted by applicable law, Marketing Ai LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

8. **Indemnification**
* The client agrees to indemnify and hold harmless Marketing Ai LLC and its employees from and against all liabilities, losses, damages, and expenses, including legal fees and costs, arising out of any claim related to the services provided by Marketing Ai LLC.

9. **Governing Law and Jurisdiction**
* These Terms shall be governed by and construed in accordance with the laws of the state of Utah. Any disputes arising out of these Terms shall be adjudicated in the state courts of Utah.

10. **Changes to these Terms**
* Marketing Ai LLC reserves the right to update or change these Terms at any time. Clients will be notified of significant changes, and continued use of our services after changes have been made signifies acceptance of the revised terms.

12. **SMS Messaging**

* Marketing AI LLC reserves the right to send SMS text message reminders for appointments until the client replies STOP. At which SMS text messages will not cease.

Message examples are as follows:

Hi John. This is Rob from Marketing AI. Our appointment for Thursday at 10:00am MT is confirmed. Please reach out to 435-246-7286 in case you need to reschedule. Reply STOP to unsubscribe.

Hey John. This is Rob from Marketing Ai. I see that you weren’t able to make it to our appointment. Would you like to reschedule? Reply STOP to unsubscribe.

You can cancel the SMS service at any time. Simply text “STOP” to the shortcode. Upon sending “STOP,” we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.

Carriers are not liable for delayed or undelivered messages.

As always, message and data rates may apply for messages sent to you from us and to us from you. You will receive messages 3 days before our appointment time, 24 hours before as a reminder, and 1 hour before our appointment as a reminder within the hour if an appointment is missed for rebooking opportunities.
